new c-corp question? shares ? parvalue?

i wanted open a c-corp on bezee and i found this shares par value/noparvalue . how many shares should i choose and which value? if i want pay the least taxes?

It doesn't really matter, technically I think your shares can't trade for less than that, but we're talking zero or near that for par value.

Choose an easy round number of shares with zeroes in it, if you choose to declare a par value I suppose the right way is the money you and your investors (if any) put into it as initial capital divided by number of shares.

I think the last time I filed corporate paperwork I put something like 100,000 or 1,000,000 shares. You can always split them later if you are wildly successful so *shrug*

My advice would be to go to a lawyer to open your corporation.

Most people opt for "no par value".

Some states charge an annual fee based on your total par value, which is the share value multipled by issued shares (or authorized shares in some states). I know Delaware does this, and I think Nevada may as well. If I were registering in one of these, I'd just make it very low like .00001 per share and only issue a limited number to begin with. You can always file an ammendement down the line if you need more shares and split the existing ones, as long as the other owners agree.
