UPDATE

CapOne called me yesterday, and I missed it.  Spoke to a very nice guy at the Executive Office today.  He waived the $39 annual fee permanently.  

This is actually good because it keeps this card a Mastercard, which I didn't have before this.

I'm fine with the APR, too, since this card will always be PIF.  

A year or two from now, hopefully I'll be able to apply and get some better lines of credit with better APR, and throw this one in the sock drawer.
