I had the same offer around the time my BCE was a year old, but I turned it down since at the time I was using it 'fast and furious' for online purchases. (Looking back it would have made sense to take the upgrade just for the bonus, though.)
In my case, the offer did go away after a few months, and was replaced by an offer for a $75 bonus and the first year's AF is *not* waived. I'm not using my BCE as much as I was then, either (giving more love to my BoA CCR) so that might have something to do with it as well.
I've played the up/down game with Amex before with my ED and I probably will again if the offer comes back (on either my ED or BCE). The timing can be tricky, though, since the RAT will come out if you downgrade before a year, but I don't want to be stuck with paying the AF for the second year since I don't find value in the upgrade itself (in other words, I'll have to time it just right).

This is the best upgrade offer you're going to get. It's worth doing that because you can downgrade the card after the AF hits as long as you do it within 30 days, and they refund it, and you can downgrade to BCE again then. If you do it before the AF hits, they can clawback the SUB.
Also, if you want the BCP, this lets you do it without opening a new account and messing up your average account age.

There's no expiration but it doesn't have to come up again. You may not see it again or it could be $50 or $75 next time. I bookmarked the page it took me to with the $150 offer so I could think about it.
When I came back it was only offering me $50 with the pop up the next day, so I used the $150 bookmark and upgraded and then after the $1,000 spend they did give $150. Bookmark the page the $150 one takes you to if you want to think about it.
I got a similar offer in an email a couple of weeks ago: Not an upgrade but a new card based on my Gold Card status. Spend $3,000 in first six months, get a $300 credit, 0% APR for 12 months, no fee first year, then $95. Offer was good for one month. Got the card yesterday, marked "Member Since 80" like my Gold Card, already charged $4,000+ on 2025 vacation payment that was due next month. Another one due in Jan. 2025 for $5,500, so I'll pay minimum payments until Sep next year and then pay the balance. All good.

I had been juggling a few other spend incentives when the BCP popped up. With those now completed, I accepted the BCP offer last week and got the new cards today.
This will take over grocery spend responsibilties from the Custom Cash.
