In THEORY an oral contract is precisely as valid as any other contract, if it is proven by means of witnesses. In practice, it's hard to prove exactly what was said. I've been involved in vendor negotiations at work, and one standard clause we always put in the contracts basically says, "this contract is the only agreement between these two parties and
supersedes any other communications, written or oral, that may have taken place between the parties prior to its signing," which is good for both sides because it removes ambiguity.
